LLP/有限责任合伙公司 10: 听说 LLP 需要一份 LLP Agreement，什么来的？

1。 这份 LLP协议，是受到2012年有限责任合伙公司法令第9条文的约束

～ LLP 合伙人之间的权利和义务，

～ LLP及合伙人之间的共同权利和义务

2。这份协议，可以使用国文或英文

3。根据法令，这份协议需要包含：

～ LLP 的名字；

～ LLP 的业务性质；

～ 所投入的资本；

～ 合伙人同意成为此 LLP 的合伙人

4。 万一没有这份协议，那么就只好参考：

～ 2012年有限责任合伙公司法令 - 第二附表 【 second schedule】

5。 如果合伙人之间有拿薪水，请记得！！！

～ 一定要写在 LLP Agreement 里面，

6。 如果没有写到会怎样？

～ 有关合伙人的薪水，在 Income Tax 那边，是不能扣 Tax 的

～ 但是，合伙人个人还是需要为有关薪水报 Tax

7。 这样一来，一边中 Tax，一边不能扣 Tax，是很不划算的

8。 因此，如果 LLP 合伙人【Partner】有拿薪水，真的要小心处理

～ LLP agreement 是肯定要的！

9。 因为，2012年有限责任合伙公司法令 - 第二附表 【 second schedule】第五条规这样阐明的：

～ No partner shall be entitled to remuneration for acting in the business or management of the limited liability partnership
