LLP | 有限责任合伙公司 19: Compliance Officer 可以辞职的吗？

1. 今天有个不是客户，又不是学生，又不是专页粉丝的人打电话来问：

～ 我不想再做 LLP 的 Compliance Office

～ 可以那些合伙人也不要做

～ 我怎么办？

～ 让你们帮我处理，收多少钱？

2. 很多人在注册 LLP 时，只想到：

～ 省钱【省 Audit Fee，省 Sec Fee】

～ 但是没有想到一些后续的问题

3. 这位朋友还问：

～ 做么外面找不到人要做 Compliance Officer 【CO】的？

4. 我的回答是：

～ 不是找不到

～ 而是没有人有胆量敢做

5. 因为 CO 有着这些职责：

～ Lodging or submitting of documents

～ Registering changes in registered particulars [14 days]

～ Keeping of Registers and Statutory Documents

～ Publishing name & registration No. outside:

• Registered Office;
• Place of Business;and
• Any other matter

6. 这原本就是有限公司 Co Sec 所在做的，其实不是一般常人能够胜任的

7. 当问他，你有file Annual Declaration　吗？

8. 他说没有 file 过任何文件

9. 我没有再问，我相信除了 Annual Declaration，这些也应该没有 file 的：

～ CP 204

～ Form PT

10. 他说他不想再做 LLP 的 CO 了，怎么办哪？

11. 这是一个活生生的问题

12. 其实：

～ 2012年有限责任合伙公司法令 [Limited Liability Partnerships Act 2012]

～ 第27条文阐明了 CO 的角色

13. 在这个条文当中的分段，说明了：

～ CO 可以向有限责任合伙公司 【LLP】 呈辞

～ 过后 向 SSM 做 lodgement

～ Lodgement 后的一个月，他的职责就被终止了

14. 倘若 有限责任合伙公司 【LLP】没有委任新的 CO，那么：

～ 所有的合伙人将被视为是 CO⚠️⚠️

15. ⚠️ ⚠️切记，是所有⚠️⚠️

16. 在不了解什么是 LLP 的情况下，我的建议是：

～ 不要贸然去开
