怎样关 LLP

1. 很多人选择 LLP 避开 Sdn Bhd 及 传统的 Partnership，主要是因为：

～ 维持成本【Maintenance Cost】，及

～ 债务【LLP Partner 的债务是 Limited 的】

2. 虽然如此，LLP 还是有着它基本的一些 Cost

3. 当生意做不上来时，LLP 还是每年要：

～ 报 CP 204；

～ 做账报 Tax；还有

～ 提呈年度申报到 SSM 【Annual Declaration】

4. CP204 及 Tax 还可以自己做，省下一些钱，但是年度申报【Annual Declaration】是有 Cost 的，一年 RM200

5. 因此，如果不打算继续做生意，最好还是把 LLP 关掉

怎样关 LLP？

6. 三种方式：

～ 自愿清盘 Voluntary Winding Up

～ 由注册委员会进行解散 Striking off

～ 法院清算 Court Order Winding Up

自愿清盘 【Voluntary Winding Up】

7. 2012年有限责任合伙公司法令，第50条文只适用于自愿清算。

8. 这是解散有限责任公司【LLP】最常见方式

9. 这是在有限责任公司停止运营，并清偿其债务和债务后才能进行的。 它是由有限责任公司【LLP】的合伙人之一去执行

10. 清盘申请的先决条件是：

～ 从税务局（IRB）获得书面批准通知【当然，也不要忘记还有EPF / SOCSO / EIS等部门】。

～ 在获得 IRB 的许可后，自愿清盘执行人应将清盘建议的通知发送给 LLP 的所有合作伙伴

～ 然后必须在马来西亚广泛发行的报纸上刊登公告，作出清盘的宣布。

～ 如果没有人反对，并且也没有人有任何异议，SSM 才会宣布LLP 成功解散。

11. 可以上网处理吗？

答：可以

12. 关要钱的吗？

答：RM100 【这只是 SSM 的费用，还不包括登报纸哦】

13. 需要些什么 supporting documents?

a. 拿到 IRB 的 CP 7

b. 发送给所有合伙人的通知副本（还要有合伙人确认签收证明或挂号证明）

c. 登报纸的公告副本

d. 法定宣誓【Statutory Declaration 】

14. 还有什么需要注意？

～ 如果打算在网上关，就不需要采用 Form 16 & Form 17

～ 上面👆🏼13(b) 或 13(c)，视何者为最迟的7天内，需要马上作出申请

15. 网上申请关闭的，需要采用：

～ VW101 - Notification of Declaration of Dissolution

～ VW107 - Notice of Completion of Distribution. (Within 14 days after the surplus assets have been distributed).

～ 即使 LLP 没有任何资产，VW107 依然需要交

～ 由注册委员会进行解散 【Striking off】

16. 2012年有限责任合伙公司法令，第51条文阐明：

～ 注册委员会【SSM】有权利从注册簿中剔除有限责任合伙公司 【LLP】的名字，也就是大家常说的 - 解散 【Striking off 】

～ 不过，截止目前为止，没有相关的指南。

～ 有鉴于此此，暂时也没有听说过，有 LLP 在此条例作出申请，并获得批准。

～ 法院有权利把 LLP 清算掉
